Any additional or conflicting terms proposed by you will not apply unless expressly agreed to by StoreHQ in writing.



2. Services Provided by StoreHQ

StoreHQ is an ecommerce growth platform and service provider designed to help brands improve visibility, acquisition, conversion, retention, and overall revenue performance.

Services may include:

  • Ecommerce SEO
  • AI discoverability optimization
  • Paid advertising management
  • Email marketing and retention programs
  • Conversion rate optimization
  • Social media marketing
  • Growth audits and performance analysis
  • Ecommerce strategy and consulting
  • Marketing performance reporting

2.2 What StoreHQ Does Not Do
StoreHQ does not:

  • Guarantee rankings, traffic, revenue, conversions, or specific business outcomes
  • Guarantee advertising performance or return on ad spend
  • Guarantee placement within search engines or AI platforms
  • Provide legal, tax, accounting, or financial advice
  • Control third-party platforms such as Google, Meta, Shopify, Klaviyo, ChatGPT, or other external services

2.3 Service Delivery
StoreHQ provides services through a combination of software, consulting, strategy, implementation, and ongoing optimization.

We may improve, update, modify, or refine our services at any time, provided core obligations are not materially reduced.

2.4 Third-Party Dependencies
Many StoreHQ services rely on third-party platforms, including but not limited to:

  • Google
  • Meta
  • Shopify
  • Klaviyo
  • Email service providers
  • Analytics platforms
  • AI platforms and search engines

The availability, policies, and performance of these platforms are outside our control.

2.5 No Guaranteed Results
Marketing performance depends on numerous external factors, including competition, market conditions, customer behavior, platform changes, and implementation variables.

StoreHQ does not guarantee specific outcomes, rankings, revenue increases, conversion rates, or business results.



3. Service Availability

StoreHQ aims to provide reliable and professional service delivery.

Scheduled maintenance, platform updates, or third-party disruptions may temporarily affect service availability.

3.3
While we strive for uninterrupted operations, we do not guarantee continuous availability of any service or platform.



4. Use Requirements

4.1 Customer Obligations
You agree to:

  • Provide accurate information
  • Cooperate in the delivery of services
  • Maintain access to necessary business systems and platforms
  • Comply with applicable laws and regulations
  • Ensure all content and materials provided are lawful and owned or authorized by you

  • Engage in unlawful activities through our services
  • Attempt to gain unauthorized access to systems
  • Reverse engineer proprietary software or systems
  • Infringe upon the intellectual property rights of others

StoreHQ reserves the right to suspend or terminate services for violations of these Terms.



5. Intellectual Property

5.1 StoreHQ Intellectual Property
All rights, title, and interest in StoreHQ materials, methodologies, software, frameworks, reports, content, branding, and proprietary systems remain the property of StoreHQ.

You are granted a limited, non-exclusive, non-transferable right to use deliverables provided as part of the agreed services.

5.2 Customer Materials
You retain ownership of all content, trademarks, websites, customer data, and business information provided to StoreHQ.

5.3 License to Perform Services
You grant StoreHQ permission to access, process, and use materials necessary to provide services and improve service delivery.



6. Fees and Payments

6.1
Fees are based on the selected services, proposal, contract, or subscription plan.

6.2
Payments must be made according to the agreed billing schedule.

6.3
Failure to make timely payments may result in suspension, delayed delivery, or termination of services.

6.4
All fees are exclusive of taxes unless otherwise stated.

Late payments may be subject to additional fees where permitted by law and applicable agreements.



7. Free Audits and Consultations

StoreHQ may offer complimentary audits, consultations, or evaluations.

These offerings are provided for informational purposes and do not constitute guarantees of future performance.

StoreHQ reserves the right to modify, limit, or discontinue such offerings at any time.



8. Disclaimer of Warranties

Services are provided on an "as is" and "as available" basis.

StoreHQ makes no warranties regarding:

  • Search engine rankings
  • Advertising performance
  • Revenue outcomes
  • Platform availability
  • Accuracy of third-party data
  • Business results

You acknowledge that all marketing activities involve risk and uncertainty.



9. Limitation of Liability

StoreHQ shall not be liable for indirect, incidental, consequential, special, or punitive damages.

9.2
To the maximum extent permitted by law, StoreHQ's total liability shall not exceed the total fees paid by you during the twelve (12) months preceding the event giving rise to the claim.

9.3
Nothing in these Terms limits liability where such limitation is prohibited by applicable law.



10. Term and Termination

10.1
These Terms become effective when you engage with StoreHQ services or use the Service.

Either party may terminate services according to the applicable agreement, proposal, subscription, or contract terms.

StoreHQ may suspend or terminate services for non-payment, misuse, legal compliance requirements, or material breaches of these Terms.

Upon termination, access to services may cease and certain data may be deleted following reasonable retention periods.Ï



11. Privacy and Data Protection

StoreHQ processes personal information in accordance with its Privacy Policy.

By using StoreHQ services, you consent to such processing where permitted by applicable law.



12. Changes to Services

StoreHQ may update, improve, modify, replace, or discontinue portions of its services as technology, market conditions, and business requirements evolve.

These Terms shall be governed by and interpreted in accordance with applicable laws, without regard to conflict-of-law principles.



14. Final Provisions

These Terms constitute the entire agreement between you and StoreHQ regarding the services described herein.

If any provision is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14.3
StoreHQ may update these Terms from time to time. Continued use of the Service after updates become effective constitutes acceptance of the revised Terms.
